$40 upgrade fee, what is this?

If I purchased the phone with a new 2 year contract at the reduced price, but sell the phone and keep my exisiting hardware, why would I still be charged te $40 upgrade fee?  There is no hardware upgrade, there is no activation of a new phone, I commit to another 2 years, and you still want to charge me $40?  

What's the rational there?
